These Terms incorporate by reference our Privacy Policy, available at www.tradexa.com.br/en/privacidade, which describes how we collect, use, store, and share personal information and usage data.

TRADEXA reserves the right to modify, suspend, or discontinue any service or tool at any time, upon prior notice to affected Users at least 30 (thirty) days in advance.
TRADEXA is not a legal, accounting, or tax advisory firm. All information, analyses, reports, and recommendations provided through the Platform are for informational purposes only and do not replace consultation with qualified professionals in the respective fields.
3. Registration, Account, and Verification
To access certain Platform features, you must create an account providing: full name or business name, valid email address, phone number, CNPJ (optional for individuals), and other information requested on the registration form. You declare that all information provided is true, accurate, and up to date.
You are solely responsible for keeping your access credentials (email and password) confidential and for all activities occurring under your account. You agree to immediately notify TRADEXA of any unauthorized use of your account or any other security breach via the page www.tradexa.com.br/en/contato.
TRADEXA reserves the right, at its sole discretion, to refuse registration or suspend or terminate accounts that: (a) provide false, incomplete, or outdated information; (b) violate any provision of these Terms; (c) are involved in fraudulent or illegal activities or activities that may harm TRADEXA or third parties; (d) use the Platform abusively or excessively in a way that compromises system stability; (e) attempt reverse engineering, decompilation, or unauthorized data extraction.
Each account is personal and non-transferable. You may not assign, transfer, sublicense, or share your access credentials with unauthorized third parties, except when expressly permitted by the purchased plan (multiple users).
For Business plans, TRADEXA may request additional documentation to verify the company, including CNPJ registration proof, business address proof, and identification of legal representatives.
4. Plans, Prices, Payments, and Renewal
TRADEXA offers different subscription plans with specific features, usage limits, and prices, as detailed on the plans page. Prices are displayed in Brazilian Reais (BRL) and may be changed upon 30 (thirty) days' prior notice.
Payments are processed through third-party payment providers (Mercado Pago, Stripe, or others that may be integrated). TRADEXA does not store full credit card data — this information is processed directly by payment gateways in a secure (PCI-DSS) environment.
Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as purchased), unless expressly cancelled by the User at least 48 (forty-eight) hours before the due date. Cancellation can be done through the account settings on the Platform.
When downgrading plans, the new conditions and limits take effect from the following billing cycle. There is no pro-rata refund for downgrades made during the current cycle. When upgrading, the pro-rata difference will be charged and the new features made available immediately.
TRADEXA may offer free trial periods for paid plans. At the end of the trial period, if the User does not cancel the subscription, billing will start automatically according to the selected plan. It is the User's responsibility to manage cancellation before the end of the trial period if they do not wish to continue with the paid plan.
4.6. Business (B2B) nature and right of withdrawal. The Platform is intended for professional and business use (trade intelligence, B2B prospecting, and foreign trade operations). When purchasing as a legal entity, or as an individual for economic or professional purposes, the User acknowledges that the relationship is business-to-business (B2B), governed by the Civil Code and freedom of contract, and that the withdrawal right under Article 49 of the Consumer Protection Code (Law 8,078/90) does not apply. For the first subscription made by an individual for strictly personal, non-professional use, withdrawal within 7 (seven) calendar days of purchase is assured, with a full refund via the same payment method. After that period, or from the second charge (renewal) onward, there is no refund, and the general rule below applies.
4.7. Renewal and prior notice. Automatic renewal results from express authorization granted at the time of purchase (acceptance of these Terms and of the subscription option, with date, time, IP, and current version recorded as proof of the transaction). Before each renewal, TRADEXA will send an email notice at least 7 (seven) days in advance, stating the amount, charge date, and how to cancel. The authorization may be revoked at any time in the account settings, effective at the end of the current billing cycle, with no refund for the ongoing period.
4.8. General no-refund rule. Once the billing cycle has started, there is no full or pro-rata refund upon cancellation, downgrade, non-use, or forgotten cancellation, as this is a continuous database access service of immediate consumption and instant enjoyment. In case of Platform unavailability exceeding 72 (seventy-two) continuous hours within the same cycle for reasons attributable to TRADEXA (excluding announced scheduled maintenance, force majeure, acts of God, and third-party provider failures), the paid-plan User is entitled to a pro-rata account credit valid for 90 (ninety) days, not a cash refund. The free (Essential) plan is offered as a mere courtesy, as-is, with no availability or SLA guarantee whatsoever.
4.9. Charge disputes (chargebacks). Before disputing any charge with the card issuer, bank, or payment method, the User must contact TRADEXA through the contact channel and wait up to 15 (fifteen) calendar days for a response and resolution. Disputing without such prior contact, or after a reasonable solution offered and refused, constitutes breach of contract and authorizes TRADEXA to: (a) immediately suspend Platform access; (b) in business (B2B) purchases, charge a compensatory fine of 20% (twenty percent) on the disputed amount; (c) pass on to the User the fees and costs charged by the issuer, acquirer, or gateway due to the dispute; (d) pursue judicial or extrajudicial collection of the debt, plus monetary correction, interest, and fees. Access and usage records (logins, queries performed, reports generated, IP addresses, and timestamps) may be presented to the issuer or in court as proof of effective service delivery.
4.10. Commitment. Monthly plans have no commitment: cancellation takes effect at the end of the current cycle. Annual plans purchased at a discount have a 12 (twelve) month commitment; in case of early cancellation at the User's initiative, a compensatory fine of 20% (twenty percent) on the remaining monthly payments is due, without prejudice to amounts already paid, which are non-refundable under clause 4.8.
4.11. Price adjustments. Plan prices may be adjusted every 12 (twelve) months by the IPCA/IBGE index variation for the period, or a replacing index, upon email notice at least 30 (thirty) days in advance. Users who disagree may cancel without penalty before the new price takes effect, keeping current conditions until the end of the current cycle. Adjustments due to plan changes, add-on packs, or applicable taxes follow the specific rules of these Terms and the law.
Failure to pay for 3 (three) consecutive days after the due date may result in temporary suspension of access to paid features. After 15 (fifteen) days of delinquency, the account may be automatically converted to the free (Essential) plan, with consequent loss of access to data, reports, and features exclusive to paid plans.
5. Acceptable Use and Restrictions
You agree to use the Platform exclusively for lawful purposes and in compliance with these Terms, applicable Brazilian law, and international trade regulations. The following is expressly prohibited:
- Reselling, redistributing, sublicensing, renting, sharing, publishing, retransmitting, or otherwise making available to unauthorized third parties any data, reports, analyses, algorithms, classifications, or other output generated by the Platform, except when expressly authorized by the purchased plan.
- Performing automated data scraping, data mining, bulk extraction, or any form of systematic data collection from the Platform using robots, spiders, crawlers, scripts, or any automated method without TRADEXA's prior, express, written authorization.
- Using the Platform to develop, train, or improve competing products or services, including artificial intelligence models, tariff classification systems, foreign trade databases, or any product that directly or indirectly competes with TRADEXA.
- Reverse engineering, decompiling, disassembling, modifying, adapting, translating, or creating derivative works from the software, algorithms, databases, or any Platform component.
- Using the Platform for illegal, fraudulent, defamatory, or abusive purposes, or purposes that violate third-party rights, including intellectual property, privacy, or image rights.
- Circumventing, disabling, or interfering with Platform security features, including authentication, access control, usage limits, copy protection, or any mechanism restricting unauthorized use.
- Using the Platform to transmit viruses, malware, trojan horses, worms, logic bombs, or any malicious code that could damage, intercept, or interfere with TRADEXA or third-party systems.
- Violating export control laws and regulations, economic sanctions, trade embargoes, or international trade restrictions imposed by Brazil, the USA, the European Union, the UN, or any applicable jurisdiction.
- Creating multiple accounts to circumvent free-plan usage limits, obtain additional trial periods, or any other form of fraud against TRADEXA's billing and usage control systems.
- Using Platform data for unlawful discrimination, abusive profiling, or any form of data processing that violates the LGPD or applicable data protection laws.
Violation of any of these restrictions may result in immediate account suspension, contract termination, and compensation for losses and damages, without prejudice to applicable legal remedies. Without prejudice to full compensation, violation of items (a), (b), (c), or (d) — resale or redistribution of data, automated or bulk extraction, use for a competing product, or reverse engineering — subjects the offender to a compensatory fine of R$ 50,000.00 (fifty thousand reais) per violation in business (B2B) relationships, plus the obligation to destroy or return all material obtained. Creating multiple accounts to improperly obtain free trials (item i) authorizes immediate cancellation of all linked accounts and retroactive billing for the period used at the corresponding plan price. The account is personal and non-transferable, linked to the contracting party; simultaneous access or sharing credentials with third parties constitutes misuse and authorizes preventive suspension for investigation.
6. Intellectual Property and Data Rights
All intellectual property rights relating to the Platform, including but not limited to: software, source and object code, algorithms, artificial intelligence and machine learning models, compiled and processed databases, data structures, user interfaces, design, visual elements, logos, trademarks, domain names, texts, graphics, icons, images, videos, educational materials, and any original content produced by TRADEXA, are the exclusive property of TRADEXA or its licensors, protected by Brazilian copyright (Law 9,610/98), industrial property (Law 9,279/96), and other applicable laws, including international treaties.
Accessing and using the Platform does not transfer to the User any intellectual property right, under any title, over any Platform element. The User is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform exclusively for the purposes set out in these Terms and in accordance with the purchased plan.
The raw foreign trade data used by the Platform is obtained from official public sources and government databases. TRADEXA holds copyright over the compilation, processing, formatting, structuring, classification, enhancement, enrichment with proprietary data, and presentation of this data, constituting a protected database under Article 87 of Law 9,609/98 and Article 7, XIII, of Law 9,610/98.
The User retains ownership of data and content entered into the Platform (product descriptions, NCM lists, buyer contact information sent via upload, etc.). However, by entering such data into the Platform, the User grants TRADEXA a worldwide, royalty-free license to store, process, and use such data strictly to deliver the contracted services (including display, calculations, and reports requested by the User). Any use for product improvement, statistics, or trade intelligence will occur exclusively on aggregated and anonymized data, in non-identifiable form, never on individual User lists, contacts, or trade secrets, which remain confidential under clause 8.
Platform usage data, including but not limited to: queries performed (NCMs, HS codes, countries, products searched), pages accessed, browsing time, features used, interface interactions, usage preferences, behavior patterns, and analytics data, belongs exclusively to TRADEXA and may be used for commercial, statistical, analytical, product development, and market intelligence purposes, in aggregate and anonymized form, without individual User identification to third parties.
TRADEXA may use, in aggregate, anonymized, non-identifiable form, User query data, search patterns, and preferences to improve algorithms, train artificial intelligence models, generate market insights, publish anonymized industry studies, and develop new features, without constituting a violation of User or third-party rights.
7. Data Processing and Consent for Commercial Purposes
Personal data processing performed by TRADEXA is governed by the Privacy Policy, available at www.tradexa.com.br/en/privacidade, which integrates these Terms for all legal purposes. By accepting these Terms, you also declare that you have read and agreed to the Privacy Policy.
The User expressly consents and authorizes TRADEXA to: (a) collect, store, process, analyze, and use browsing data, queries, preferences, interactions, and Platform usage patterns; (b) create aggregate and anonymized statistical and analytical profiles; (c) use such data for trade intelligence, product development, service pricing, industry benchmarking, and market publications; (d) share aggregate and anonymized data with business partners, corporate clients, research institutions, industry bodies, and for public relations and institutional marketing purposes.
TRADEXA will not share identifiable personal data (name, email, CPF/CNPJ, phone) with third parties for marketing purposes without the User's express, specific consent, except for the legal sharing cases provided by the LGPD (Law 13,709/2018), such as compliance with legal obligations, execution of public policies, protection of life or physical safety, and health protection.
In the event of corporate transactions involving TRADEXA, such as mergers, acquisitions, incorporations, spin-offs, asset sales, or restructurings, User data, including personal and usage data, may be transferred as part of the company's assets, safeguarding data subjects' rights under applicable law.
8. Secrecy and Confidentiality
The User acknowledges that they may have access to TRADEXA confidential information, including but not limited to: proprietary algorithms, data processing methods, compiled databases, pricing models, trade strategies, and technical know-how. The User agrees to keep such information strictly confidential, not disclose it to third parties, and not use it for any purpose other than authorized use of the Platform.
Likewise, TRADEXA undertakes to treat as confidential the User's sensitive business information shared in the context of consulting services (Market Research, Buyer Research, Tax Audit, and other human-delivered services), not disclosing it to unauthorized third parties, except as provided in clause 7 above regarding aggregate and anonymized data.
9. Limitation of Liability and Disclaimers
The Platform and all its services, tools, data, reports, analyses, and content are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, timeliness, completeness, uninterrupted availability, or absence of errors.
TRADEXA makes its best efforts to keep data current and accurate, using official government sources and internal verification processes. However, TRADEXA does not warrant and is not liable for: (a) errors, omissions, inaccuracies, or outdated foreign trade data, tariffs, tariff classifications (NCM/HS), importer data, port information, or any other data provided; (b) commercial, financial, tax, logistics, legal, or any other decisions made by the User based on Platform information; (c) losses or damages arising from use or inability to use the Platform, including lost profits, lost business opportunities, consequential damages, moral damages, or indirect damages of any kind.
The Platform's tax, fiscal, and regulatory information (including NCM/HS classifications, duty rates, tariffs, and import/export requirements) is exclusively informational and guiding in nature, generated from public databases and automated models, and does not constitute customs, tax, legal, or accounting advice. TRADEXA is not a customs broker and does not perform clearance, licensing, or representation before authorities. Definitive tariff classification and foreign trade decisions must be validated by a licensed customs broker, attorney, or accountant engaged by the User. Under no circumstances will TRADEXA's total liability, whether in contract, tort (including negligence), strict liability, or any other legal theory, exceed the total amount paid by the User to TRADEXA in the 6 (six) months immediately preceding the event giving rise to the claim. For free (Essential) plan Users, offered as a mere courtesy with no consideration, TRADEXA assumes no liability whatsoever, with no amount, compensation, or indemnity due, to the maximum extent permitted by applicable law.
TRADEXA is not liable for: (a) temporary Platform unavailability due to scheduled maintenance, third-party infrastructure failures (hosting, CDN, DNS), cyberattacks, acts of God, or force majeure; (b) data loss due to failures in the User's devices, connectivity issues, or improper use of the Platform; (c) content of third-party sites accessed through links provided on the Platform.
The limitations of liability in this clause apply to the maximum extent permitted by Brazilian law. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages, so the above limitations may not fully apply to the User.
10. Indemnification
You agree to indemnify, defend, and hold harmless TRADEXA, its managers, directors, employees, service providers, partners, agents, and representatives from and against any claims, demands, lawsuits, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) violation of these Terms; (b) improper, fraudulent, or illegal use of the Platform; (c) violation of third-party rights, including intellectual property rights; (d) false, inaccurate, or outdated information provided by the User; (e) willful or negligent conduct of the User in using the Platform.
11. Cancellation, Suspension, and Termination
Users may cancel their account at any time through the Platform settings or by written request via the page www.tradexa.com.br/en/contato. Cancellation of paid plans takes effect at the end of the current billing cycle, with no full or pro-rata refund of the purchased period, consumed or not, under clause 4.8. Exceptions: (i) withdrawal from the first subscription by an individual for personal use, within 7 days (clause 4.6); (ii) unresolved defect in service delivery within 30 days, where the Consumer Protection Code applies; (iii) credit for unavailability exceeding 72 hours (clause 4.8). Before disputing any charge with the issuer (chargeback), the User must follow the prior procedure in clause 4.9, under penalty of the sanctions provided therein.
TRADEXA reserves the right to suspend or terminate the User's account at any time and without prior notice in the following cases: (a) violation of any provision of these Terms; (b) court order or competent authority determination; (c) User request; (d) account inactivity for more than 12 (twelve) months on free plans; (e) shutdown or discontinuation of the Platform.
After account cancellation or termination: (a) the User will lose access to all Platform features, data, and functionality; (b) query and generated report data will remain stored for 90 (ninety) days, during which the User may request export of their data; (c) after 90 (ninety) days, all personal data and User content will be permanently deleted, except for aggregate and anonymized data already incorporated into TRADEXA's intelligence databases and legal data retention obligations (tax, accounting, etc.).
TRADEXA may shut down the Platform or terminate the agreement for convenience, upon email notice 30 (thirty) days in advance; in that case, paid-plan Users are entitled to a pro-rata refund for unused days of the current cycle (or credit, at the User's choice), the sole case of pro-rata refund provided in these Terms. No provision of these Terms that by its nature should survive account termination (including, without limitation, intellectual property, limitation of liability, indemnification, venue, and governing law) will be affected by account cancellation or termination.
12. Changes to the Terms
TRADEXA reserves the right to modify these Terms at any time, at its sole discretion, to reflect changes in services, applicable law, market practices, or for any other reasonable business reason.
Material changes will be communicated to Users by email at least 30 (thirty) days in advance and published on the Platform. Non-material changes (such as spelling corrections, formatting adjustments, or clarifications that do not substantially alter rights and obligations) take effect immediately upon publication.
Continued use of the Platform after the changes take effect constitutes tacit acceptance of the new Terms. If you do not agree with the changes, you must stop using the Platform and cancel your account before the modifications take effect.
We recommend that you periodically review these Terms to stay informed of the conditions applicable to Platform use. History of prior versions is available upon request.
13. General Provisions
13.1. Entire Agreement. These Terms, together with the Privacy Policy and documents incorporated by reference, constitute the entire agreement between you and TRADEXA regarding Platform use, superseding any prior understandings, agreements, or communications, verbal or written.
13.2. Severability. If any provision of these Terms is deemed invalid, illegal, or unenforceable by a competent court, the remaining provisions remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely matches the parties' original economic intent.
13.3. Tolerance and Waiver. TRADEXA's failure to exercise any right or provision of these Terms does not constitute a waiver of such right or provision. Waiver of any breach does not constitute waiver of subsequent breaches.
13.4. Assignment. Users may not assign or transfer their rights and obligations under these Terms without TRADEXA's prior written consent. TRADEXA may assign or transfer these Terms, in whole or in part, at any time, upon notice to the User.
13.5. Communications. By registering on the Platform, you agree to receive electronic communications from TRADEXA, including transactional emails (registration confirmation, plan changes, security notifications), Platform announcements, newsletters, and informational materials. You may unsubscribe from marketing communications at any time via the unsubscribe link in emails or in account settings. Transactional and security communications cannot be opted out of.
13.6. Force Majeure. TRADEXA will not be liable for failures or delays in fulfilling its obligations when resulting from events beyond its reasonable control, including, without limitation: natural disasters, epidemics, pandemics, government acts, wars, terrorism, civil unrest, strikes, power or telecommunications interruptions, cyberattacks, and infrastructure provider failures.
13.7. Governing Law and Venue. These Terms are governed by the laws of the Federative Republic of Brazil. The courts of Florianópolis, State of Santa Catarina, are elected to settle any disputes arising from these Terms, with express waiver of any other venue, however privileged.
